4. Fees and Payment

4.1 Fees: Fees for services will be outlined in the service agreement. All fees are exclusive of applicable taxes unless otherwise stated.

4.2 Payment Terms: Payment terms will be specified in the service agreement. Invoices are payable within 30 days of receipt unless otherwise agreed upon.

4.3 Late Payments: Late payments may incur a late fee of 1.5% per month on the outstanding balance.

5. Client Responsibilities

5.1 Information and Access: Clients must provide all necessary information and access to resources required for JiSK IT Solutions to perform the services.

5.2 Cooperation: Clients are expected to cooperate with JiSK IT Solutions staff and provide timely feedback and approvals.

6. Confidentiality

JiSK IT Solutions agrees to maintain the confidentiality of any proprietary or confidential information provided by the client. Both parties agree to take reasonable measures to protect confidential information from unauthorized disclosure.

7. Intellectual Property

7.1 Ownership: Any software, documentation, or other materials created by JiSK IT Solutions in the course of providing services remain the property of JiSK IT Solutions until full payment is received.

7.2 Licensing: Upon full payment, the client is granted a non-exclusive, non-transferable license to use the deliverables as outlined in the service agreement.

8. Warranties and Disclaimers

8.1 Service Warranty: JiSK IT Solutions warrants that it will provide services in a professional and workmanlike manner.

8.2 Disclaimer: Except as expressly provided in these terms, JiSK IT Solutions disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, JiSK IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from the use of or inability to use the services.

10. Termination

10.1 Termination by Client: Clients may terminate the service agreement upon 30 days written notice to JiSK IT Solutions.

10.2 Termination by JiSK IT Solutions: JiSK IT Solutions may terminate the service agreement if the client fails to make timely payments or breaches any other terms and conditions.

11. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which JiSK IT Solutions operates.

12. Amendments

JiSK IT Solutions reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes and continued use of services constitutes acceptance of the revised terms.
